1. Introduction
1.1 Agreement Overview
These Terms of Service (“Terms”) constitute a legally binding agreement between you and DIJJI.ai Inc., a Delaware corporation (“DIJJI”, “DIJJI.ai”, “we”, “us”, “our”). These Terms govern your access to and use of the DIJJI.ai platform, including the website, web application, agents, and related services (collectively, the “Services”).
By creating an account, accessing, or using the Services, you:
- Confirm that you have read and understood these Terms.
- Agree to be bound by these Terms and our Privacy Policy.
- Commit to comply with all applicable laws and regulations.
If you are a United States user, Section 16 contains a binding arbitration agreement and class-action waiver that affects how disputes between you and DIJJI are resolved. You may opt out of binding arbitration within thirty (30) days of first acceptance of these Terms as described in Section 16.
If you do not agree, you must not access or use the Services.
1.2 Definitions
- “DIJJI”, “we”, “us”, “our” means DIJJI.ai Inc. and its successors and affiliates.
- “Services” means the DIJJI.ai platform and all associated software, websites, and offerings.
- “User” means any individual or entity that accesses or uses the Services.
- “Authorized User” means an individual permitted by a customer organization to access the Services under that organization’s account.
- “Customer Data” means all data, code, files, configurations, projects, prompts, inputs, outputs, and materials submitted to, generated by, or processed through the Services on your behalf.
- “Input” means prompts, task descriptions, instructions, commands, or data you provide to the Services.
- “Output” means plans, code, commits, pull requests, reviews, test results, reports, or other materials generated by the Services based on Inputs.
- “Connected Service” means a third-party service (such as GitHub, Slack, or Jira) you authorise DIJJI to access on your behalf.
- “Agent” means an autonomous or semi-autonomous AI process operated by DIJJI to perform delivery tasks on your behalf.
2. The Services
2.1 What DIJJI Does
DIJJI.ai provides AI-Augmented Delivery: an AI-powered software platform in which Agents take a user-provided task description, generate an execution plan, write and modify code, run automated tests, perform code review, run end-to-end tests, and open pull requests on your connected source code repositories. The Services include orchestration of these agents across organizations, teams, and projects, with billing, usage metering, gating, and approval workflows.
The Services are made available on a pay-as-you-go usage-credit basis as described at the point of purchase. Pricing may change with reasonable notice.
The Services are intended solely for use by businesses and organizations, and by their Authorized Users acting in a professional capacity. The Services are not directed to, or intended for, consumers acting for personal, family, or household purposes. By using the Services you represent that you are doing so for business or professional purposes.
2.2 License to Use the Services
Subject to your compliance with these Terms, DIJJI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for your or your organization’s internal business purposes for so long as you maintain an active account in good standing.
2.3 Restrictions
You may not, and may not permit any Authorized User or third party to:
- Copy, distribute, sell, lease, sublicense, or otherwise commercially exploit the Services themselves.
- Reverse engineer, decompile, or attempt to extract the source code, models, prompts, skills, or system logic of the Services, except to the extent applicable law expressly forbids such restriction.
- Use the Services, or any Output, to develop or train any competing product, service, or AI model.
- Remove, obscure, or alter any proprietary notices or branding on or in the Services.
- Interfere with, disrupt, or attempt to gain unauthorised access to the Services, the infrastructure on which they run, other users’ accounts, or any sandbox environment beyond your own.
- Circumvent usage limits, credit accounting, gating, rate-limiting, abuse detection, or other safeguards.
- Use automated scripts, scrapers, or other tools to extract data from the Services, except via interfaces DIJJI expressly designates as APIs and within their published terms.
All rights not expressly granted are reserved by DIJJI.
2.4 Suspension
We may temporarily suspend your access to the Services if, in our reasonable judgement:
- There is a security threat or attack involving your account.
- Your use poses a security, abuse, performance, or legal risk to DIJJI, our other customers, or third parties.
- You have failed to pay fees when due.
- We are required to do so to comply with law.
We will give you reasonable notice of suspension where practical and lift the suspension when the underlying cause is resolved.
3. Accounts and Access
3.1 Account Creation and Responsibility
Use of most features requires an account. You agree to:
- Provide accurate, current, and complete information.
- Keep your authentication credentials (such as passwords and OAuth tokens) confidential.
- Promptly notify us of any suspected unauthorised access or security breach at hi@dijji.ai.
- Be responsible for all activity that occurs under your account, including the acts and omissions of your Authorized Users.
3.2 Age and Authority
You must be at least 18 years old and have the legal capacity to enter into these Terms. If you accept these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and the term “you” refers to that organization.
3.3 Account Deletion
You may request deletion of your account at any time by contacting hi@dijji.ai. Upon deletion:
- Your access to the Services will terminate.
- Customer Data associated with your account will be deleted or anonymised in accordance with the retention practices in our Privacy Policy.
- Certain records may be retained where required by law, for legitimate business purposes (such as fraud prevention), or to defend legal claims.
4. Customer Data and Connected Services
4.1 Ownership
As between you and DIJJI, you retain all ownership rights in your Inputs, your repositories, and the Outputs generated for you, subject to the licenses granted in this Section 4. We make no claim to ownership of the code, applications, or products that DIJJI Agents produce for you.
4.2 License to Operate the Services
You grant DIJJI a worldwide, non-exclusive, royalty-free, sublicensable (only to our sub-processors as needed to operate the Services) license to access, process, store, transmit, modify, and display Customer Data solely to:
- Provide, operate, and maintain the Services.
- Execute the tasks you instruct via the Services.
- Maintain security, reliability, and integrity of the Services.
- Comply with legal obligations.
This license does not grant DIJJI the right to sell Customer Data or to use it to train any AI model.
4.3 Connected Services and Repository Access
When you authorise DIJJI to access a Connected Service (such as GitHub, Slack, or Jira), you grant DIJJI permission to perform actions on your behalf within the scopes you have approved, including (where applicable) reading repository contents, creating branches, committing code, pushing to remotes, opening pull requests, posting messages, and creating or updating tickets. You are responsible for ensuring that you have the rights and permissions necessary to grant such access.
You may revoke DIJJI’s access to a Connected Service at any time through that provider’s account settings or by disconnecting the integration within DIJJI.
4.4 Code Execution
You acknowledge that DIJJI Agents execute code on your behalf in isolated sandbox environments. This includes running package managers, build tools, tests, linters, and scripts defined in or invoked by your repositories. You are responsible for the safety and legality of the code that runs as a result of your instructions, including any third-party dependencies your repositories pull in. DIJJI applies isolation, network restrictions, and abuse detection to limit the impact of malicious or buggy code, but does not guarantee that such measures will prevent every possible harm.
4.5 Content Responsibility
You are solely responsible for:
- The legality and compliance of your Inputs, repositories, and other Customer Data.
- Reviewing, validating, and testing Outputs before relying on them in production.
- Decisions made, code deployed, and actions taken on the basis of Outputs.
4.6 Backups
You are responsible for maintaining independent backups of your Customer Data. DIJJI is not a system of record for your source code and does not guarantee recovery of Customer Data in the event of loss or corruption.
5. Pricing, Credits, and Billing
5.1 Pricing Model
DIJJI is offered on a pay-as-you-go basis. There are no recurring subscriptions. Use of the Services is metered in credits, which you purchase in advance and consume as you run tasks. Enterprise customers may agree to custom commercial terms, credit grants, and invoicing arrangements directly with DIJJI.
5.2 Credits and Usage Metering
Tasks consume credits based on factors including the AI model selected, task complexity, run duration, and resource consumption. DIJJI determines credit costs at its reasonable discretion and may adjust them with reasonable advance notice. Estimated and actual credit consumption may differ; you remain responsible for the credits actually consumed. Credits may not be transferred, resold, or exchanged for cash, and may be forfeited on termination of the account for cause.
5.3 Payment
You authorise DIJJI and its third-party payment processor to charge your designated payment method for credits you purchase and any applicable taxes. If a payment fails or is reversed, in-flight tasks may be paused or cancelled and further use of the Services may be restricted until payment is received.
5.4 Refunds
Except where required by law (including the statutory withdrawal rights of consumers in the European Union, the United Kingdom, and other applicable jurisdictions), credit purchases are non-refundable. Refunds may be issued at DIJJI’s sole discretion in cases of billing error or where DIJJI terminates your account without cause, calculated based on the proportion of unused credits, excluding any discounts or promotional amounts.
5.5 Taxes
Prices are exclusive of all applicable taxes. You are responsible for all taxes other than those based on DIJJI’s net income.
5.6 Account Closure
You may stop using the Services at any time. Unused credits remain available for use as long as your account is open, subject to any expiry communicated at the time of purchase. On account closure or deletion, unused credits are forfeited without refund unless required by applicable law.
6. Acceptable Use
You agree not to use the Services, and not to permit any Authorized User to use the Services, to:
- Violate any applicable law, regulation, or third-party right (including intellectual property, privacy, and publicity rights).
- Develop, distribute, or operate malware, spyware, ransomware, or other malicious code.
- Conduct unauthorised security testing, penetration testing, vulnerability scanning, or denial-of-service attacks against any party.
- Mine cryptocurrency, run general-purpose compute workloads unrelated to software delivery, or otherwise abuse the compute resources of the Services.
- Build phishing pages, credential-harvesting interfaces, payment or identity-theft forms, or visual clones of third-party services intended to deceive end users.
- Process medical records, payment-card numbers, government identification numbers, or other sensitive personal data in violation of applicable law or our published guidance.
- Use the Services to surveil individuals or to generate content that harasses, defames, threatens, or targets individuals or protected groups.
- Attempt to derive the prompts, system instructions, model weights, or training data of the underlying AI providers, or to use Outputs to train a competing AI system.
DIJJI may enforce these restrictions by issuing warnings, throttling usage, suspending or terminating accounts, removing offending content, and taking other action it considers appropriate to protect the Services and other users.
7. Export Controls and Sanctions
You represent and warrant that you are not (and are not acting on behalf of an entity that is) located in, organised under the laws of, or ordinarily resident in any country or territory subject to comprehensive U.S. sanctions, and that you are not on the U.S. Treasury Department’s Specially Designated Nationals list or any equivalent restricted-party list. You will not use the Services in violation of applicable export control or sanctions laws.
8. AI-Powered Features
8.1 AI Disclaimer
You acknowledge that the Services are powered by AI systems, including third-party large language models, and that:
- Outputs are produced by probabilistic models and may be incorrect, incomplete, biased, outdated, or otherwise unsuitable for your purpose.
- Agents may misunderstand instructions, misread code, or take incorrect actions despite reasonable safeguards.
- Outputs do not constitute professional, legal, financial, medical, or security advice.
You are responsible for independently reviewing every Output before relying on it, and for monitoring and approving the actions Agents take on your repositories and Connected Services. DIJJI does not warrant that any specific Output will be accurate, complete, secure, fit for a particular purpose, or free from infringement.
8.2 Use of Customer Data for AI Training
Customer Data is not used to train DIJJI’s proprietary models or any third-party AI model. The Services operate on the codebase and inputs you provide for the specific task you have initiated, and that data is used only to deliver Outputs to you.
8.3 Sub-Processors
To deliver the Services, DIJJI shares relevant Inputs and Customer Data with third-party AI model providers under contractual safeguards. These providers act as data sub-processors and do not retain or reuse your data beyond what is necessary to process your request.
8.4 Enterprise Controls
Enterprise customers may agree to custom commercial and data-handling terms with DIJJI. Contact hi@dijji.ai for details.
9. Intellectual Property
9.1 DIJJI IP
DIJJI retains all rights, title, and interest in and to the Services, including the platform architecture, source code, models, prompts, skills, agent designs, user interfaces, documentation, branding, and all related intellectual property. The names “DIJJI”, “DIJJI.ai”, the DIJJI logo, and related marks are trademarks of DIJJI and may not be used without prior written permission.
9.2 Customer Creations
DIJJI claims no ownership over:
- The code, applications, or products that Agents generate for you.
- Pull requests, commits, branches, or other Outputs produced under your instructions.
- Configurations, prompts, and custom workflows you author within the Services.
You may use these Outputs commercially, subject to the licenses of any open-source dependencies that the Agents incorporate and any applicable terms of your Connected Services.
9.3 Usage Data
We may collect aggregated, de-identified usage data (“Usage Data”) about how the Services are used, and we retain all rights in such Usage Data. Usage Data is not linkable to you and does not contain Customer Data.
9.4 Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant DIJJI a perpetual, worldwide, royalty-free, sublicensable, transferable license to use them without compensation or attribution.
10. Security and Privacy
DIJJI applies reasonable technical, organisational, and physical safeguards to protect Customer Data and the integrity of the Services, as described in our Privacy Policy. No system is fully secure and you acknowledge that residual risk exists. Personal data is processed in accordance with the DIJJI Privacy Policy.
11. Term and Termination
These Terms remain in effect from your first acceptance until terminated. Either party may terminate as follows:
- By you: at any time, by requesting account deletion by email to hi@dijji.ai.
- By DIJJI for cause: immediately, on notice, if you materially breach these Terms (including the Acceptable Use Policy), fail to pay fees when due, or if continued provision of the Services to you would create a legal, security, or reputational risk.
- By DIJJI for convenience: on reasonable notice; in such case, we will refund the value of any unused credits remaining on your account at the time of termination.
Termination does not waive outstanding payment obligations or limit either party’s remedies. Sections that by their nature should survive termination (including Sections 4, 6, 7, 9, 12–17) will survive.
12. Warranty Disclaimer
THE SERVICES AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS. TO THE FULLEST EXTENT PERMITTED BY LAW, DIJJI DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, DIJJI DOES NOT WARRANT THAT THE SERVICES OR ANY OUTPUTS WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, COMPLETE, FREE OF VULNERABILITIES, OR FIT FOR PRODUCTION USE WITHOUT INDEPENDENT REVIEW.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DIJJI, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
DIJJI’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO DIJJI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (US$100).
These limitations do not apply to liability that cannot be excluded or limited under applicable law (such as liability for death or personal injury caused by negligence, or for fraud).
14. Indemnification
You agree to defend, indemnify, and hold harmless DIJJI, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:
- Your or your Authorized Users’ use of the Services.
- Your Inputs, repositories, code, or other Customer Data.
- Your violation of these Terms, including the Acceptable Use Policy.
- Your violation of any applicable law or any rights of a third party.
- Applications, products, or services you build using the Services.
15. Modifications
We may update these Terms from time to time. For material changes, we will provide reasonable advance notice (such as in-product notice or email to the address associated with your account) before the changes take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree to an update, you must stop using the Services and may cancel your subscription.
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-laws principles.
16.2 Informal Dispute Resolution
Before commencing any formal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at hi@dijji.ai with a written description of the dispute, the relief sought, and your contact information. The parties will engage in good-faith discussions for at least forty-five (45) days before any formal proceeding may be commenced.
16.3 Binding Arbitration (United States users)
If you are a U.S. user and a dispute is not resolved informally, you and DIJJI agree that the dispute will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, in San Francisco, California, in English, before a single arbitrator. The arbitrator’s award will be final and binding and may be entered as a judgment in any court of competent jurisdiction. You and DIJJI knowingly and irrevocably waive any right to a trial by jury and any right to participate in a class, collective, or representative action.
16.4 Exceptions
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or stop unauthorised use of the Services. Individual claims may also be brought in small-claims court where eligible.
16.5 Arbitration Opt-Out
You may opt out of the binding arbitration agreement in Section 16.3 by sending written notice to hi@dijji.ai (with subject line “Arbitration Opt-Out”) within thirty (30) days of your first acceptance of these Terms, including your full name, account email, and a clear statement that you decline binding arbitration. Opting out does not affect any other part of these Terms.
16.6 EU and UK Consumers
If you are a consumer ordinarily resident in the European Union or the United Kingdom, nothing in these Terms removes the mandatory protections of the consumer law of your country of residence, and you may bring proceedings in the competent court of that country.
16.7 Other Non-U.S. Users
For users outside the United States, the European Union, and the United Kingdom, disputes not resolved informally will be resolved in the state or federal courts located in San Francisco, California, and you consent to the personal jurisdiction of those courts.
17. Miscellaneous
- Entire Agreement. These Terms, together with the Privacy Policy, any Data Processing Addendum, and any order form or supplemental terms applicable to your subscription, constitute the entire agreement between you and DIJJI relating to the Services.
- Severability. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver. A party’s failure to enforce a right is not a waiver of that right.
- Assignment. You may not assign these Terms without DIJJI’s prior written consent. DIJJI may assign these Terms in connection with a merger, acquisition, financing, or sale of assets, or to an affiliate.
- Force Majeure. Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, internet or infrastructure outages, government action, or pandemic.
- Independent Contractors. The parties are independent contractors; nothing in these Terms creates a partnership, joint venture, or agency relationship.
- Notices. Notices to DIJJI must be sent to hi@dijji.ai. Notices to you will be sent to the email address associated with your account.
- Electronic Communications. You consent to receive communications from DIJJI in electronic form.
